Last updated: September 24, 2026
Welcome to ConviTutor
These Terms of Service ("Terms") govern your access to and use of ConviTutor's website, mobile applications, and services (collectively, the "Service" or "Platform"). By creating an account or using our Service, you agree to be bound by these Terms.
Please read these Terms carefully before using ConviTutor. If you do not agree to these Terms, you may not access or use the Service.

2. Account Registration
2.1 Eligibility
To create your own ConviTutor account, you must:
- Be at least 18 years of age, OR
- Be at least 13 years of age (we ask for your date of birth when you sign up, or before first use if you sign in with Google or Apple).
Teachers, Organization Owners, Organization Secretaries, and Organization Teachers must be at least 18 years of age. Children under 13 do not create or hold their own accounts. A parent or legal guardian who is at least 18 years of age and has their own account may create a parent-managed student profile for their child — the only way a child under 13 can take part in the Service. By creating the profile, the parent agrees that these Terms govern the child's use of the Service; the parent is the account holder and contracting party and remains responsible for all activity carried out through that profile. The child may take part in lessons and coursework through their parent's account, under the parent's supervision. The information we handle about children under 13 who take part through a parent-managed student profile is described in the Children's Privacy section of our Privacy Policy.
2.2 Account Creation
When creating an account, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your password and other sign-in methods (passkeys, linked Google or Apple accounts) secure
- Not share your account credentials with others
- Notify us immediately of any unauthorized access to your account by emailing support@convitutor.com
2.3 Account Responsibility
You are solely responsible for all activities that occur under your account. ConviTutor is not liable for any loss or damage arising from your failure to maintain the security of your account credentials.
2.4 Account Ownership
Each account must belong to one individual and be used in their own name. You may hold more than one account only where the Service requires it (for example, to be both a Teacher and a Parent, or to teach for more than one Organization). An Organization has one Organization Owner and may add Organization Secretaries; each uses their own account.
3. User Types and Roles
3.1 Students
Students use the Platform to:
- Receive lessons and educational content from Teachers
- Submit assignments and track progress

- Manage multiple Teachers within one Organization
- Enroll and manage Students
- Set pricing and payment policies
- Access administrative features and reports

6. Subscription and Payments
6.1 Who Pays
- Students and Parents: FREE - No subscription fees
- Independent Teachers: A permanent Free plan is available; paid plans unlock additional features
- Organizations: A permanent Free plan is available; paid plans add teacher seats and additional features
6.2 Subscription Plans
Subscription plans are available at different tiers based on features and usage needs. Current plan details and pricing are available on our website.
6.3 Billing
- Subscriptions are billed monthly or annually, depending on the billing interval you choose
- Payment is processed through Stripe or other authorized payment processors
- You authorize us to charge your payment method on a recurring basis
- Prices are set in US Dollars. Where supported, checkout may display and charge the equivalent amount in your local currency
- Organization plans include a set number of teacher seats and are billed a per-seat fee for each additional seat; optional add-ons are billed monthly
6.4 Payment Method
You must provide a valid payment method to subscribe. You are responsible for:
- Keeping your payment information current
- Ensuring sufficient funds are available
- Paying any applicable taxes
6.5 Failed Payments
If a payment fails:
- Our payment processor may retry the charge
- Your subscription is marked past due; if the payment is not completed within the grace period (currently 7 days after the billing period ends, or sooner if our payment processor ends the subscription after its final retry), your account moves to the Free plan
- You remain responsible for all unpaid fees
6.6 Refunds
- Subscription fees are generally non-refundable
- We may offer refunds at our sole discretion
- Refund requests must be sent to support@convitutor.com within 30 days of the charge
6.7 Price Changes
We may change subscription prices for new subscriptions at any time. We will not increase the price of an existing subscription without giving you at least 30 days' notice in the Service or by email. Continued use of the Service after a notified increase takes effect constitutes acceptance of the new pricing.
6.8 Taxes
You are responsible for paying all applicable taxes. Subscription fees do not include taxes unless explicitly stated.
6.9 Cancellation
You (for an Organization, the Organization Owner) may cancel a paid subscription at any time from your billing settings. Cancellation takes effect at the end of the current billing period: you keep the paid plan's features until then, no further charges are made, and your account then continues on the Free plan. Unused time is not refunded. Section 7.3 applies to courses above the Free plan's limits.
7. Free Trial
7.1 Trial Period
New Independent Teachers and newly created Organizations receive a free trial of a paid plan. The trial starts when the Teacher completes onboarding or the Organization is created, and runs for the trial length in effect at that time (currently fourteen (14) days).
7.2 Trial Terms
- No payment method is required to start the trial
- The trial provides the features and usage limits of the trial plan (currently Pro for Independent Teachers and Academy, at its included seats, for Organizations); add-on packs are not available during the trial
- At the end of the trial, your account moves to the free plan unless you subscribe
- Only one trial is permitted per individual or Organization
- If you subscribe during the trial, billing starts immediately and the trial ends
7.3 Trial Expiration
When your trial expires:
- You will be prompted to subscribe
- Your account continues on the free plan, with that plan's limits; courses above those limits are paused until you upgrade or reduce your roster
- Your data is retained — paused courses are not deleted
- You may subscribe at any time to unlock your chosen plan's features and resume paused courses
8. Lesson Payments and Marketplace
8.1 Payment Facilitation
ConviTutor facilitates payments between Students/Parents and Teachers/Organizations through Stripe Connect. When a Teacher or Organization connects a Stripe account, card payments are transferred, less the Payment Protection fee, to that connected Stripe account and paid out on the schedule described in Section 8.8.
8.2 Teacher and Organization Responsibility
Teachers and Organizations are solely responsible for:
- Setting their own prices for lessons
- Complying with tax laws and reporting requirements
- Honoring their agreements with Students and Parents
- Completing Stripe Connect onboarding, which is required to accept card payments
8.3 Payment Processing
- Payments are processed through Stripe Connect, with payouts to the Teacher's or Organization's connected account
- Stripe's terms of service apply to all transactions
- ConviTutor is not responsible for payment processing errors by third-party providers
8.4 Payment Protection Fee
Where enabled, a Payment Protection fee applies to card payments made to Teachers and Organizations. The fee combines a flat amount and a percentage of the payment total, and covers dispute resolution, fraud prevention, and secure payment processing. It is collected by ConviTutor as an application fee and deducted from the amount paid out; it is not added to the Student's payment. Teachers and Organizations can see the fee charged on each payment in their payment records.
8.5 Refunds
Refund policies for lesson payments:
- Teachers and Organizations may issue full or partial refunds on completed card payments; refunds above an amount or share of the payment set by ConviTutor (currently more than US$200 or more than half the payment, which includes every full refund) are reviewed by ConviTutor before funds move, and the refunding party is told when a refund requires review
- Refunds reverse the transfer and refund the Payment Protection fee in proportion to the amount refunded
- Cash payments cannot be refunded through the platform
8.6 Payment Disputes
The Student or Parent who made a card payment may open a Payment Dispute on it within 60 days (one dispute per payment). The Teacher assigned to the course has 7 days to respond by accepting (which starts a refund, subject to the review described in Section 8.5) or rejecting the dispute. If the Teacher rejects it or does not respond within 7 days, the dispute is escalated to ConviTutor support, which may issue a refund at its sole discretion; such refunds reverse the transfer as described in Section 8.5.
8.7 Payment Protection Policy
Payment Protection covers the cost of dispute resolution, fraud monitoring, and secure payment infrastructure. The fee applies to card payments made to connected Teachers and Organizations. ConviTutor may waive or reduce the fee for individual accounts and may adjust the fee rate. A changed rate applies to checkouts started after the change; a checkout already in progress keeps its original fee. The fee charged on each payment is shown on that payment's record.
8.8 Chargebacks
Chargebacks filed by cardholders are handled through Stripe's dispute resolution process. ConviTutor contests Chargebacks through Stripe using the lesson and payment records on the Platform; Teachers and Organizations must promptly provide any information we request. Excessive Chargebacks may result in suspension, which stops new card payments and holds payouts. ConviTutor sets each account's payout delay (currently between 2 and 14 days) and per-payment and monthly limits based on account history, and may change them to prevent fraud. If a Chargeback is decided against the Teacher or Organization, ConviTutor absorbs the disputed amount and the card-network dispute fees, and the Teacher's payout is not reversed. The lesson invoice that the payment settled returns to unpaid, and the Student or Parent remains responsible for it under their agreement with the Teacher. ConviTutor may recover a lost Chargeback from a Teacher's or Organization's connected payout account only where the Chargeback resulted from that Teacher's or Organization's fraud or breach of these Terms.
8.9 Account Termination and Payments
Pending payouts are paid on your account's payout schedule (Section 8.8); your connected payout account is then closed. Outstanding refund obligations survive account termination.
8.10 Expedited Payouts
Teachers may request a shorter payout delay. The request requires identity verification through Stripe Identity and a one-time, non-refundable review fee that is shown before you pay. ConviTutor may decline the request, or later withdraw expedited payouts if account risk changes.
9. Content and Intellectual Property
9.1 ConviTutor's Intellectual Property
The Service, including its design, features, functionality, and content created by ConviTutor, is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.
9.2 Trademarks
"ConviTutor" and associated logos are trademarks of ConviTutor. You may not use these marks without our prior written consent.
9.3 Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant ConviTutor a non-exclusive, royalty-free, perpetual, irrevocable license to use and incorporate such feedback without any obligation to you.
10. User-Generated Content
10.1 Your Content
You retain ownership of content you create and upload to the Platform ("Your Content"). By submitting, uploading, or transmitting Content, you grant ConviTutor a non-exclusive, worldwide, royalty-free license to:
- Store and backup Your Content
- Display Your Content to the users you share it with and, for profile content you publish, to anyone
- Process Your Content, including through our service providers (such as OpenAI for AI features), as necessary to provide the Service
10.2 Content Responsibility
You are solely responsible for Your Content. You represent and warrant that:
- You own or have the right to share Your Content
- Your Content does not violate any third-party rights
- Your Content complies with these Terms and applicable laws
10.3 Content Removal
ConviTutor may remove content that violates these Terms or is otherwise objectionable, at our sole discretion and without notice. We maintain a zero-tolerance policy for objectionable content and abusive behavior: you can report messages, conversations, or users and block other users from within the app, and we review reports and act on them, which may include restricting or suspending accounts. Blocking does not disable conversations tied to an active course while that course relationship continues.
10.4 Content Backup
While we take reasonable measures to protect your data, you are responsible for maintaining backups of Your Content. ConviTutor is not liable for any loss of content.
10.5 Lesson Recordings and Transcripts
Video lessons and consultations held through the Service may be recorded and transcribed when the Teacher starts a recording; each other participant is asked to consent, and anyone who declines is excluded from the recording. Recordings and transcripts are stored on the Teacher's account. When any participant permanently deletes their account, the recordings and transcripts of every session they attended are erased for all participants, including group lessons; AI summaries already saved to lesson notes are kept with the lesson record. Keep your own copy of any recording you need to retain.
11. Privacy and Data Protection
11.1 Privacy Policy
Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.
11.2 Children's Privacy
Children under 13 do not hold their own ConviTutor accounts. They take part only through a parent-managed student profile that a parent or legal guardian creates and controls from their own account, and the parent is the account holder for everything done with that profile — see Section 2.1 and the Children's Privacy section of our Privacy Policy, which describes what information we hold about a child and how a parent can review or delete it, or refuse further collection.
11.3 Data Security
We implement reasonable security measures to protect your data. However, no method of transmission or storage is 100% secure, and we cannot guarantee absolute security.
11.4 Data Retention
We retain your data for as long as your account is active or as needed to provide services, subject to the retention periods described in the Data Retention section of our Privacy Policy. Upon account termination, we may retain certain data as required by law or for legitimate business purposes.
12. Communications
12.1 Electronic Communications
By creating an account, you consent to receive electronic communications from ConviTutor, including:
- Account notifications
- Service updates and announcements
- Billing and payment information
12.2 Transactional Messages
Account and security emails (verification, password reset, sign-in codes) cannot be turned off while your account is active. You may turn off other notifications, but deadlines in these Terms (for example Section 8.6) still apply.
12.3 Push Notifications
If you enable push notifications, you may receive alerts on your mobile device or in your browser. You can manage notification preferences in your account settings.
13. Third-Party Services
13.1 Integrations
The Service may integrate with third-party services, including the following; our full list of service providers is in the Privacy Policy:
- Payment processors (Stripe)
- Video call infrastructure (including Daily.co) and cloud object storage for files and recordings
- AI features (OpenAI)
- Embedded videos (YouTube)
13.2 Third-Party Terms
Your use of third-party services that you choose to use or that are linked from the Service is subject to their respective terms and privacy policies. ConviTutor is not responsible for those third-party services.
13.3 Links
The Service may contain links to third-party websites. We do not endorse or assume responsibility for any third-party sites or content.
14. Disclaimers
14.1 "As Is" Service
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO: MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY OR RELIABILITY OF CONTENT.
14.2 No Guarantee of Results
ConviTutor does not guarantee any specific educational outcomes. The quality of instruction depends on individual Teachers and Students.
14.3 Teacher Qualifications
ConviTutor does not verify Teacher qualifications, credentials, or background. Public profiles are reviewed before they appear in search, and identity checks may be run for payout purposes; neither verifies qualifications, credentials, or background. Users are responsible for evaluating Teachers before engaging their services.
14.4 Service Availability
We do not guarantee that the Service will be uninterrupted, secure, or error-free. We may suspend or discontinue the Service at any time without notice.
15. Limitation of Liability
15.1 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONVITUTOR'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED: THE AMOUNT YOU PAID TO CONVITUTOR IN THE 12 MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.
15.2 Exclusion of Damages
CONVITUTOR SHALL NOT BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, DATA, USE, OR GOODWILL
- COST OF SUBSTITUTE SERVICES
- DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT
- DAMAGES ARISING FROM DISPUTES BETWEEN USERS
15.3 Basis of the Bargain
THE LIMITATIONS IN THIS SECTION REFLECT THE ALLOCATION OF RISK BETWEEN THE PARTIES AND ARE AN ESSENTIAL BASIS OF THE AGREEMENT BETWEEN YOU AND CONVITUTOR.
16. Indemnification
You agree to indemnify, defend, and hold harmless ConviTutor, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Your Content
- Your interactions with other users
- Any educational services you provide or receive through the Platform
17. Termination
17.1 Termination by You
You may terminate your account at any time by:
- Deactivating your account from account settings (you can reactivate it by logging in)
- Requesting account deletion from account settings — your account locks immediately, any paid subscription stops renewing, and after a 30-day grace period (during which you can restore it by logging in) your personal data is permanently deleted or de-identified; records we are legally required to keep, such as payment records, are retained in de-identified form, and your messages remain visible to their recipients under an anonymized name. Organization Owners must first transfer or close their Organization
- Contacting support@convitutor.com, who will help you close or transfer your account
Canceling a paid subscription does not close your account (see Section 6.9).
17.2 Termination by ConviTutor
We may suspend or terminate your account if:
- You violate these Terms
- You engage in fraudulent or illegal activity
- We discontinue the Service
- Required by law
An Organization may also remove or disable the access of its Organization Teachers and Organization Secretaries.
17.3 Effect of Termination
Upon termination:
- Your right to use the Service ceases when your account is suspended or when you request deletion; a canceled paid subscription runs to the end of its billing period
- Outstanding payment obligations remain due
- Deleted accounts are handled as described in Section 17.1; data of suspended or deactivated accounts is retained until the account is deleted
- The following sections survive termination: Section 8 (payment, refund, and Chargeback obligations), Section 9 (Content and IP), Section 10 (User-Generated Content), Section 14 (Disclaimers), Section 15 (Limitation of Liability), Section 16 (Indemnification), Section 18 (Dispute Resolution), and Section 20 (General Provisions)
17.4 Data Export
You may download your data from within the Service where an export is offered — for example, CSV exports of payments, sessions, study logs, and invoice aging for the roles that hold them. For anything else, contact support before deleting your account and we will respond within a reasonable time.
18. Dispute Resolution
18.1 Informal Resolution
Before initiating formal proceedings, you agree to contact us at support@convitutor.com with a description of the dispute to attempt to resolve it informally. We will try to resolve the dispute within 30 days of receiving your notice.
18.2 Arbitration Agreement
If informal resolution fails, any dispute arising from these Terms or the Service shall be resolved by binding arbitration, except where prohibited by law or where you opt out as provided below.
18.3 Arbitration Rules
Arbitration shall be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect, available at www.adr.org. The arbitration shall take place in Whitfield County, Georgia, United States, or, at your election, by telephone, video conference, or based solely on written submissions. Judgment on the arbitrator's award may be entered in any court of competent jurisdiction.
18.4 Class Action Waiver
YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS AND NOT THROUGH CLASS ACTIONS, CONSOLIDATED ACTIONS, OR REPRESENTATIVE ACTIONS.
18.5 Opt-Out
You may opt out of the arbitration agreement by sending written notice within 30 days of first agreeing to these Terms. Send notice by email to support@convitutor.com or by mail to ConviTutor, PO Box 1801, Dalton, GA 30722, United States.
18.6 Small Claims Court
Either party may bring qualifying claims in small claims court.
19. Changes to Terms
19.1 Modifications
ConviTutor reserves the right to modify these Terms at any time. We will provide notice of material changes by:
- Posting the updated Terms on our website, with a new 'Last updated' date
- Displaying a notice within the Service and asking you to accept the updated Terms the next time you open the Service while signed in
19.2 Effective Date
Changes take effect on the date they are posted, shown as the 'Last updated' date at the top of these Terms. If you already have an account, you will be shown the updated Terms in the Service and asked to accept them; until you accept, you may log out, but you cannot continue using the Service.
19.3 Acceptance of Changes
By selecting Accept, or by continuing to use the Service after changes take effect, you agree to be bound by the updated Terms. If you do not agree to the changes, log out and stop using the Service; contact support@convitutor.com to close your account or obtain your data.
20. General Provisions
20.1 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and ConviTutor regarding the Service.
20.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
20.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
20.4 Assignment
You may not assign or transfer your rights under these Terms without our prior written consent. ConviTutor may assign these Terms without restriction.
20.5 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law principles. Subject to Section 18, you and ConviTutor agree to the exclusive jurisdiction of the state and federal courts located in Whitfield County, Georgia, for any disputes not subject to arbitration.
20.6 Force Majeure
ConviTutor shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or infrastructure failures.
20.7 Headings
Section headings are for convenience only and do not affect the interpretation of these Terms.
20.8 Language
These Terms are written in English. If translated into other languages, the English version shall prevail in case of conflict.
